1. Subject of the license agreement
The subject of this license agreement (hereinafter referred to as the Agreement) is the right to use one licensed copy of the Sypex Geo software product (hereinafter referred to as the Software Product), in the manner and under the conditions established by this Agreement. If you do not agree to the terms of this Agreement, you may not use this Software Product. Installation and use of the Software Product means your full acceptance of all clauses of this Agreement.
2. Copyright
2.1. The Sypex Geo software product is the intellectual property of the BINOVATOR company (hereinafter referred to as the Copyright Holder).
2.2. The software product is protected by the Law of Ukraine “On Copyright and Related Rights”, as well as international treaties.
2.3. Property rights and copyrights include source codes, texts, images and other copyrighted items.
2.4. In case of copyright infringement, liability is provided in accordance with current legislation.
3. Scope of rights granted by this Agreement
3.1. This Agreement gives you the following rights:
3.1.1. The right to install and use one copy of the Software Product on one domain name;
3.1.2. The right to make a copy of the Software Product, provided that this copy is intended only for archival purposes and to replace a legally acquired copy in cases where the original is lost, destroyed or becomes unusable. This copy cannot be used for other purposes and must be destroyed if ownership of a copy of the Software Product ceases to be legal;
3.1.3. The right to receive Software Product updates via the Internet;
3.1.4 . The right to create applications whose interface will work successfully with the Software Product and which do not affect the source code of the system, indicating that this is your original product;
3.2. Subject to the terms of this Agreement, you may not:
3.2.1. Modify the Software Product or use its components in any other products;
3.2.2. Transfer to others the rights granted to you by this Agreement (by rental, lease or loan);
3.2.3. Remove or correct any signs of ownership or copyright in the Software Product;
3.2.4. Distribute the Software Product or individual copies of files, libraries and other source code of the product;
3.2.5. Modify the Software Product to allow one set of source files to work on several Addresses at once (URL, domains, subdomains, etc.);
3.3. This Agreement does not grant you any rights in or to trademarks or names owned by the Copyright Holder.
3.4. This Agreement does not provide the right to receive a new version of the Software Product free of charge.
4. Duration of the Agreement
4.1. This Agreement and the rights granted by it come into force upon installation of the Software Product and are valid for the duration of the license.
4.2. Without prejudice to any of its rights, the Copyright Holder has the right to terminate this Agreement if you fail to comply with its terms and restrictions.
4.3. Upon termination of this Agreement, you must destroy all copies and components of the Software Product in your possession.
5. Responsibility of the parties
5.1. The Copyright Holder guarantees that the operation of the Software Product will correspond to the description given in the documentation.
5.2. The Copyright Holder does not bear any responsibility in the event of incompatibility of the Software Product with your server.
5.3. The copyright holder is not responsible for any damage associated with the use or inability to use the Software Product.
5.4. For violation of copyright on the Software Product, the violator bears civil, administrative or criminal liability in accordance with the law.
5.5. If the user changes the source code of the Software Product, the Copyright Holder does not guarantee uninterrupted operation of the program.
5.6. Due to the lack of license validity period, refunds are not provided for in this Agreement.
6. Contents
6.1. The copyright holder Sypex Geo reserves the right to publish lists of selected clients of its Software Products.
6.1.1. In order to be included in the list of clients, your project must meet the following requirements:
- a copy of the Software Product must be legally purchased from the Copyright Holder of the product.
- the Sypex Geo logo must be placed on your project, with a description that this is a licensed copy and a link to the official website of the Software Product, or a page on the official website describing your system.
6.1.2. Your website must not contain content prohibited by law.
6.2. The copyright holder Sypex Geo reserves the right to change the terms of this license agreement at any time, but these actions do not and will not have retroactive effect. A copy of this license agreement and its changes will be available on the official website of the Software Product, at http://sypexgeo.net/en/agreement/.
